CallerAPI SDK - Commercial License Agreement

1. DEFINITIONS
"SDK" means the CallerAPI software development kits published by CallerAPI,
in any distributed form, including the iOS (Swift) package, the Android
(Kotlin and native) library, the Flutter plugin, the React Native module,
and their accompanying source code, binaries, templates, example projects,
and documentation.
"Service" means the CallerAPI backend (caller identification and spam-
blocking data served via Private Information Retrieval and k-anonymous
lookup at api.callerapi.com, pir.callerapi.com, pat.callerapi.com, or
successor endpoints) that the SDK connects to.
"Licensee" means the company or individual that has entered into a paid
subscription agreement with CallerAPI to use the SDK and Service.
"Application" means a Licensee's iOS or Android application that embeds the
SDK.
"Subscriber" means an end user of an Application for whom the Service
performs lookups, as metered for billing under the subscription agreement.
2. GRANT OF LICENSE
Subject to Licensee's compliance with this Agreement and payment of all fees
under an active subscription (billed per Subscriber per month, or as
otherwise agreed in an order form), CallerAPI grants Licensee a non-
exclusive, non-transferable, non-sublicensable, revocable license to:
(a) incorporate the SDK into Licensee's own Applications; and
(b) distribute the SDK only as compiled into those Applications via the
Apple App Store, Google Play, or other channels approved in writing by
CallerAPI.
Downloading the SDK from a public package registry (Maven Central, CocoaPods,
npm, pub.flutter-io.cn, or a source repository) does not by itself grant any right to
use the SDK or the Service. Use requires an active subscription and the
credentials issued with it.
3. RESTRICTIONS
Licensee shall NOT, and shall not permit any third party to:
(a) use the SDK or Service without an active, paid subscription;
(b) redistribute, sublicense, sell, rent, lease, or lend the SDK in source
or standalone binary form, or as part of any software development kit,
library, or competing product;
(c) reverse engineer, decompile, or disassemble any non-source component of
the SDK or Service, except to the extent this restriction is prohibited
by applicable law;
(d) remove or alter any proprietary notices;
(e) point the SDK at the Service from an application or environment not
covered by Licensee's subscription, share or embed credentials issued to
Licensee in any other product, or otherwise circumvent metering;
(f) use the SDK or Service to build a competing caller-ID or call-blocking
data service.
4. OWNERSHIP
The SDK and Service, and all intellectual property rights therein, are and
remain the exclusive property of CallerAPI. This Agreement grants a license,
not a sale. No rights are granted except as expressly stated herein.
5. DATA AND PRIVACY
On iOS, the Live Caller ID Lookup protocol is executed by the operating
system using Oblivious HTTP, Privacy Pass, and homomorphic-encryption-based
Private Information Retrieval. On Android, lookups use k-anonymous bucket
retrieval. In both cases CallerAPI does not learn which phone number a device
looks up. Licensee is responsible for its own Application's privacy
disclosures, App Store and Google Play privacy labels, and compliance with
applicable law in its markets.
6. FEES
Use of the SDK and Service requires a paid subscription billed per Subscriber
per month (or as set out in an order form). CallerAPI may suspend Service
access for any Application whose account is past due or in breach.
7. WARRANTY DISCLAIMER
THE SDK AND SERVICE ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND,
EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.
CallerAPI does not warrant uninterrupted or error-free operation, nor that
the Apple Live Caller ID Lookup subsystem, the Apple relay, or Android call
screening will be available.
8. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALLERAPI SHALL NOT BE LIABLE FOR ANY
INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY
LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.
CALLERAPI'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE FEES
PAID BY LICENSEE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. TERMINATION
This Agreement terminates automatically if Licensee breaches it or ceases to
maintain an active subscription. On termination, Licensee must stop using the
SDK and Service and remove the SDK from Applications in its next release.
Sections 3, 4, 7, 8, and 10 survive termination.
10. GENERAL
This Agreement is governed by the laws of Switzerland, without regard to
conflict-of-laws rules. If any provision is held unenforceable, the remainder
stays in effect. This Agreement, together with any executed order form, is
the entire agreement between the parties regarding the SDK and Service.
